Terms of use

These Terms of Use (the "Terms") constitute a legally binding agreement between you (the "User") and AVAL Holdings OÜ, and govern your access to and use of this website (the "Website"). Please read them carefully before using the Website.

§ 01

1. Acceptance of the terms

By accessing, browsing or otherwise using the Website, you acknowledge that you have read, understood and irrevocably agree to be bound by these Terms, together with our Privacy Policy and Cookie Policy, which form an integral part hereof. If you do not agree with any provision of these Terms, you must refrain from using the Website.

2. Operator of the website

The Website is operated by AVAL Holdings OÜ, a private limited company incorporated under the laws of the Republic of Estonia, registry code 17446786, with its registered office at Narva mnt 5, 10117 Tallinn, Estonia ("AVAL", "we", "us" or "our"). 3. Informational nature of the content

All information published on the Website is provided for general informational purposes only. It does not constitute, and shall not be construed as:

  • an offer, solicitation or recommendation to buy, sell, subscribe for or otherwise deal in any security, financial instrument, share, participation or investment product;
  • investment, legal, tax, accounting or other professional advice;
  • a public offering within the meaning of Regulation (EU) 2017/1129 or any national implementing legislation;
  • the basis for entering into any contract or commitment whatsoever.

Prospective investors and business partners must rely solely on their own due diligence and, where appropriate, seek independent professional advice.

The Website and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, AVAL disclaims all warranties of any kind, whether express or implied, including without limitation any warranty of accuracy, completeness, timeliness, non-infringement, merchantability, fitness for a particular purpose, or uninterrupted availability. AVAL does not warrant that the Website will be free of errors, defects, viruses or other harmful components.

5. Intellectual property

The Website and all its elements — including but not limited to text, images, graphics, design, layout, source code, databases, trademarks, trade names, logos, the "AVAL" name and any related identifiers — are the exclusive property of AVAL Holdings OÜ or its licensors and are protected by copyright, trademark and other intellectual-property laws.

Except for the limited right to view the Website for your personal, non-commercial use, no right, title or interest is granted to you. Any reproduction, distribution, public communication, modification, adaptation, translation or other use, in whole or in part, is strictly prohibited without the prior written consent of AVAL, save for uses expressly permitted by mandatory law.

6. User conduct

You undertake not to:

  • use the Website in any manner that violates applicable law, these Terms, or the rights of third parties;
  • attempt to gain unauthorised access to the Website, its servers, systems, networks or any data contained therein;
  • interfere with, disrupt or impose an unreasonable load on the Website or its infrastructure, including by means of denial- of-service techniques, automated scraping, crawling or harvesting of content;
  • introduce viruses, trojans, worms, logic bombs or other malicious code;
  • use the Website or its content in connection with unlawful, fraudulent, defamatory or misleading activities.

Any breach of this clause may result in immediate termination of access and give rise to civil and criminal liability.

7. Limitation of liability

To the fullest extent permitted by applicable law, neither AVAL, nor its shareholders, directors, officers, employees, affiliates or agents, shall be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, loss of business, loss of goodwill or loss of data, arising out of or in connection with the use of, or inability to use, the Website or its content, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory law, in particular liability for intent or gross negligence, or liability for bodily injury.

The Website may contain links to third-party websites or resources. Such links are provided solely for convenience. AVAL has no control over, does not endorse and assumes no responsibility for the content, privacy practices, availability or reliability of any third-party website. Accessing such websites is at your own risk and subject to their own terms and policies.

9. Changes to the terms

AVAL reserves the right, at its sole discretion, to modify these Terms at any time. The updated version will be published on this page with an indication of the date of the last update. Continued use of the Website after publication of the updated Terms constitutes acceptance of the changes.

10. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable by a competent court or authority, the remaining provisions shall remain in full force and effect. The invalid, illegal or unenforceable provision shall be deemed replaced by a valid and enforceable provision that most closely reflects the original intent of the parties.

§ 11

11. Governing law and jurisdiction

These Terms are governed by, and shall be construed in accordance with, the substantive laws of the Republic of Estonia, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any dispute arising out of or in connection with these Terms or the use of the Website is Harju County Court in Tallinn, Estonia, without prejudice to any mandatory statutory jurisdiction that may apply to consumers.
